This End User License Agreement ("Agreement") is entered into between Fires and Wires LLC, doing business as MachineShop One ("Company," "we," "us," or "our"), and any person or entity accessing or using the MS1OST Integration ("Software"). By using the Software, you agree to be bound by the terms of this Agreement.
The MS1OST Integration is an internal business software integration that connects the Company's order management system (osTicket) with Intuit QuickBooks Online. Its functions include:
The Software is operated solely by authorized MachineShop One staff and is not distributed to or installed by end consumers.
The Company grants authorized users a limited, non-exclusive, non-transferable license to use the Software solely for internal business operations of MachineShop One. This license does not include the right to sublicense, distribute, resell, or modify the Software for use outside of the Company's operations.
The Software, including all source code, design, and documentation, is the exclusive property of Fires and Wires LLC. Nothing in this Agreement transfers ownership of the Software or any intellectual property rights therein.

The Software integrates with third-party platforms including Intuit QuickBooks Online and eBay. Use of these platforms is subject to their respective terms of service and privacy policies. The Company is not responsible for changes to third-party APIs or services that may affect Software functionality.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FIRES AND WIRES LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify and hold harmless Fires and Wires LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your misuse of the Software or violation of this Agreement.
This Agreement is effective until terminated. The Company may terminate this Agreement immediately upon notice if you breach any of its terms. Upon termination, all rights granted under this Agreement cease immediately.
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in El Paso County, Colorado.
The Company reserves the right to modify this Agreement at any time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of the Software after any changes constitutes acceptance of the updated Agreement.
